Terms of Service

Agreement between you and OdoReach for using our WhatsApp marketing platform.

1. Acceptance of Terms

By accessing and using OdoReach, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not use the platform.

2. Eligibility

You must meet all of the following to use OdoReach:

  • ✓ Be at least 18 years old
  • ✓ Have a valid registered business in India
  • ✓ Have a valid GST certificate, Udyam registration, or business proof
  • ✓ Have a WhatsApp Business Account under your name
  • ✓ Not be restricted from using internet services

Important: If any of the above is not true, you are not permitted to use OdoReach. We reserve the right to verify your eligibility anytime.

3. Subscription & Payment

Pricing

  • • ₹699/month for first month (early bird pricing)
  • • ₹899/month thereafter + 18% GST
  • • Additional charges for API usage beyond included limits (if applicable)

Billing & Renewal

  • • Subscriptions renew automatically every month
  • • Payment processed via Razorpay on your renewal date
  • • Invoice sent to your registered email
  • • All payments are non-refundable unless specified otherwise

Cancellation

  • • Cancel anytime with no penalty or lock-in period
  • • Cancellation effective at end of current billing cycle
  • • No refunds for partial months
  • • Your data remains accessible for 30 days after cancellation

4. Prohibited Uses

You agree NOT to use OdoReach for:

  • ✗ Sending spam or unsolicited messages
  • ✗ Phishing, scams, or fraudulent activities
  • ✗ Harassment, threats, or abuse of customers
  • ✗ Sending messages without customer consent
  • ✗ Violating Meta's or WhatsApp's terms
  • ✗ Selling or distributing illegal products/services
  • ✗ Hacking, reverse engineering, or security attacks
  • ✗ Reselling OdoReach access to others without permission

Violation Consequence: Violating these rules will result in immediate account suspension and potential legal action.

5. Account Suspension & Termination

We can suspend your account if you:

  • • Violate these terms or Meta's policies
  • • Send spam or receive customer complaints
  • • Fail to pay subscription fees
  • • Engage in fraud or illegal activity
  • • Falsify business documents during signup

Upon Termination

  • • Access to OdoReach is immediately revoked
  • • Your data is retained for 30 days, then deleted
  • • No refunds will be issued
  • • You remain liable for any damages caused

6. Content & Responsibility

You are responsible for:

  • • All content you send via OdoReach (messages, templates, files)
  • • Obtaining customer consent before sending messages
  • • Complying with WhatsApp API terms and Meta policies
  • • Ensuring your campaigns don't violate any laws
  • • Protecting your account credentials

OdoReach is NOT responsible for:

  • • Content you send via our platform
  • • WhatsApp API outages or Meta service interruptions
  • • Delivery failures (handled by Meta/WhatsApp)
  • • Customer complaints about your messages
  • • Loss or corruption of your customer data

7. Limitation of Liability

OdoReach is provided "as is" without any guarantees. To the extent permitted by law, OdoReach is NOT liable for:

  • • Loss of revenue or business
  • • Loss of customer data
  • • Any indirect, incidental, or consequential damages
  • • Delays or failures in delivering messages
  • • Third-party service interruptions (Meta, Razorpay, etc.)

Our maximum liability to you is limited to the amount you paid in the last 3 months.

8. Intellectual Property

OdoReach platform, code, design, and branding are owned by OdoReach. You are granted a limited license to use the platform for your business. You may not:

  • • Copy or reproduce our code
  • • Modify or create derivative works
  • • Remove our branding or trademarks
  • • Resell or redistribute OdoReach

9. Indemnification

You agree to indemnify and protect OdoReach from any claims, damages, or legal fees arising from your use of the platform, violation of these terms, or violation of any laws.

10. Governing Law

These terms are governed by the laws of India. Any disputes will be resolved in the courts of India under Indian jurisdiction.

11. Changes to Terms

We may update these terms at any time. We will notify you of major changes via email. Continued use of OdoReach after changes means you accept the updated terms.
